Antiba and SKIN Acquisitions Establish Luxury Platform at Pasubio Group

Pasubio S.p.A., a leading specialised provider of premium leather for the automotive industry, is pleased to announce the creation of the UNICA S.p.A. platform (“UNICA”) following the recent acquisitions of Conceria Antiba S.p.A. from brothers Paolo and Graziano Balducci and SKIN S.r.l. from Daniele Salassa and Arrigo Calorini. The founders of Antiba and SKIN have become shareholders in the group’s holding company, alongside PAI Partners and the Pretto family, and will invest significant financial and human resources into UNICA.

In establishing UNICA, Pasubio aims to create a uniquely Italian champion in terms of offering and positioning: an industrial and commercial excellence platform designed to serve the luxury sector in all its forms, providing Italian artisanal craftsmanship across automotive, bags, shoes, accessories, apparel and home interiors.

With its expertise in the creation of customised and bespoke products, Pasubio currently produces over 1,600 SKUs, meeting the specific needs of its long-standing partners (such as Rolls-Royce, Bentley, Lamborghini, Porsche, Range Rover and BMW) with precision and quality. Antiba has deep heritage in the production of calf and goat leathers in the luxury sector, with clients including Hermès, Chanel and Bottega Veneta. SKIN is a key provider of commercial services and product scouting in the fashion world, thanks to established relationships with all major international fashion brands.

UNICA will offer a comprehensive range of premium services and materials, including high-quality leathers, refined fabrics such as jacquard, denim and silk, and innovative materials such as bio-based polyurethane. The group culture of quality, savoir-faire and craftsmanship will be codified and protected through the introduction of cutting-edge AI-powered solutions, ensuring long-term quality and Italian excellence for all partnership brands.

UNICA will be managed through divisions and specific management teams for each vertical, with the former entrepreneur-founders playing a fundamental guiding role within the group and overseeing their clients, in continuity with their past work. A management committee actively involving the founders will aim to enhance the overall efficiency of the group, with a particular focus on sustainability and material traceability, along with reduced development and lead times.

Pasubio was assisted by District Advisory, with legal support from Latham & Watkins on corporate, regulatory and finance matters. EY-Parthenon handled financial and commercial due diligence, STS Deloitte handled tax due diligence and FRM provided tax and structuring advice. Banor Sim (through its Family Office department), Bank of America, CACIB, Intesa Sanpaolo, and JP Morgan provided financing for the transaction. All buyside advisers were coordinated by Group CFO Cristian Filocamo and Group COO Stefano Gelsomini.

Pasubio Leather Reports 5% Growth Despite Market Challenges with €88M Revenue in Q1 2024

Pasubio Leather, a Vicenza-based tanning group specializing in automotive leather, has shown remarkable resilience despite a challenging market. The first quarter of 2024 saw a 6.38% decrease in year-on-year turnover. However, compared to the November-January 2023 period, the company experienced a 5% growth, highlighting its adaptability in the European luxury segment.

Pasubio Leather reported net sales of 88 million euros for Q1 2024, down from 94 million euros in the same period of 2023. The last twelve months (LTM) balance was 346 million euros, a slight 2% decrease from the previous year.

The company’s revenue is primarily from the automotive sector (92%), with

  • 65% from seats,
  • 23% from interiors, and
  • 4% from steering wheels.
  • The remaining 8% comes from other uses, mainly furniture.

European customers make up 89% of their clientele.

Pasubio Leather’s Q1 2024 results demonstrate its strong strategy and resilience. Despite a year-on-year decline, the 5% growth from the end of 2023 shows the company’s strength in the automotive sector and its ability to navigate market challenges.

The Tanning Industry Thrives: Pasubio classified as 2nd Fastest Growing Leather Company

The reality of tanneries continues to thrive, according to the latest study conducted by Pambianco new in 2022. For the 102nd edition of Lineapelle, the outcome resulted in a turnover increase for Italian tanneries, particularly the ones segmented in the luxury market. The analysis found positive results and, in some cases, even better than pre-pandemic levels due to an increase of demand in the premium market.

Conceria Pasubio, leather manufacturer for the automotive interior sector, was classified in the 2nd place. In 2019, the group held a 10,9% market share for premium interior leather on a global scale, before the acquisition of HeWa, with a 350-million-euro turnover, showing a 9% increase compared to its results in 2021. The group’s balance sheet indicates, regardless of the current economic situation, a general 8,7% increase, while the luxury business & premium market demand rose of 9,0% and 25,1% respectively.

Bentley debuts with Pasubio’s Olive Tan leather

On the occasion of Monterey Car Week in California, Bentley selected Conceria Pasubio’s Olive Tan Leather, an exclusive type of completely organic leather car interiors.

What characterizes this product is its sustainable tanning process, developed using organic bypass from the olive oil industry. Obtained from the reworking of residues from olive extractions, this tanning agent is free from metals, minerals and harmful aldehydes, also requiring less water in comparison to conventional tanning methods.

This entire process does not compromise the quality of the material: the leather remains incredibly soft, perfect to be showcased to the demanding clientele of the most desired automotive luxury brand.

In 2021, Porsche delivered 6.200 cars in Italy, emphasizing the importance of the country’s market. Barbara Frenkel, executive board member of Porsche, visited Italy’s top three suppliers, including Conceria Pasubio, which supplies premium leather interiors for the brand. After her visit at Pasubio’s HQ, she claimed herself as “impressed by the force and passion put into working with Porsche.”
